Subject: Resignation by a Member of the Supervisory Board
General legal basis: Article 56.1.2 of the Act on Public Offering – current and periodic information
The Management Board of Lubelski Węgiel Bogdanka S.A. with registered office in Bogdanka (the Company) hereby announces that on 10 May 2010, the Company received resignation from a member of the Supervisory Board, submitted by Mr. Bogdan Kowal.
The resignation is effective as of 1 June 2010.
A reason for the resignation provided by Mr. Bogdan Kowal is the following: as of 1 June 2010, Mr. Bogdan Kowal was appointed to a position reporting to the President of the Management Board of LW Bogdanka. In accordance with Article 387.2 of the Commercial Companies Code, a person who reports directly to a member of the Management Board may not be a member of the Supervisory Board at the same time.
In accordance with Article 8.1 of the Rules of Procedure for Appointing to and Removal from
office of members of the Supervisory Board of Lubelski Węgiel Bogdanka S.A. by the Company’s employees, in the event of resignation of a Supervisory Board member elected from among the candidates nominated by the employees, the person who obtained the next largest number of votes during the most recent elections shall be appointed to the
Supervisory Board.
Given the above, at the next Annual General Shareholders Meeting the Management Board will present a draft of resolution on appointing Ms. Jadwiga Kalinowska to the position of a member of the Supervisory Board; Ms. Jadwiga Kalinowska obtained the next largest number of votes during the most recent elections.
